Terms of Service

By accessing or using the services provided by UNGRAVITY LLC ("Company," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services.

These Terms apply to all users of our services, including but not limited to conversational AI agents, AI agent platforms, text-to-speech infrastructure, custom application development, and systems integration services.

Ungravity AI provides artificial intelligence and automation services including:

• Conversational AI agents and chatbots
• AI agent platforms and orchestration systems
• Custom text-to-speech infrastructure and APIs
• Idea-to-app development services
• Systems integration and engineering services
• Automation consulting and implementation

We reserve the right to modify, suspend, or discontinue any part of our services at any time with reasonable notice to users.

To access certain services, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your account information
• Keep your account credentials secure and confidential
• Notify us immediately of any unauthorized use of your account

You are responsible for all activities that occur under your account.

You agree not to use our services for any unlawful purpose or in any way that could damage, disable, overburden, or impair our services. Prohibited uses include:

• Violating any applicable laws or regulations
• Infringing on intellectual property rights
• Transmitting harmful, offensive, or inappropriate content
• Attempting to gain unauthorized access to our systems
• Reverse engineering or attempting to extract source code
• Using our services to develop competing AI solutions

All intellectual property rights in our services, including software, algorithms, models, and documentation, remain our exclusive property. You are granted a limited, non-exclusive, non-transferable license to use our services in accordance with these Terms.

Any custom solutions developed specifically for you remain your property, while the underlying technology, frameworks, and methodologies remain our intellectual property.

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

You retain ownership of your data. We process your data solely to provide our services and will not use your data to train models for other clients unless explicitly agreed upon.

UNGRAVITY LLC operates SMS messaging services on behalf of business customers that license our platforms. The terms in this section apply whenever you exchange SMS or MMS messages with one of those services. Personal data processed through these services is governed by our Privacy Policy and, in particular, the SMS Communications section of that policy.

Program Description

Messages sent through our messaging services are conversational and reply-only. The services exist to respond to inquiries that you initiate by contacting a participating business (for example by calling its published phone number or sending it a message) and to deliver follow-up information you have asked to receive. We do not send marketing, promotional, recurring, or unsolicited broadcast messages through these services.

Message Frequency

Message frequency is conversational and varies with your own activity. Typical volume is low, usually one to three follow-up messages per inquiry you initiate, plus replies to any subsequent inbound messages from you. We do not place any user on a recurring or scheduled send list.

Message and Data Rates

Message and data rates may apply. Check with your wireless carrier for the rates that apply to your plan. UNGRAVITY LLC and the participating business are not responsible for charges levied by your carrier.

Opt-Out and HELP

You may opt out of any of our messaging services at any time. Reply STOP, STOPALL, UNSUBSCRIBE, CANCEL, END, or QUIT to the messaging service and we will stop sending messages to your number immediately. To re-subscribe, contact the participating business through its published channels.

For help, reply HELP or email c@ungravity.ai. We will respond with support information, including how to opt out and how to reach us.

Carrier Disclaimer

Wireless carriers are not liable for delayed or undelivered messages. Delivery of any individual message is not guaranteed, and message delivery may be affected by factors outside our control, including network coverage, device availability, and carrier policies.

Payment terms will be specified in your service agreement. Unless otherwise stated:

• Fees are due within 30 days of invoice date
• Late payments may incur additional charges
• All fees are non-refundable unless otherwise specified
• We reserve the right to suspend services for non-payment

While we strive for high availability and performance, our services are provided "as is" without warranties of any kind. We do not guarantee:

• Uninterrupted or error-free operation
• Complete accuracy of AI-generated content
• Specific performance metrics unless contractually agreed
• Compatibility with all third-party systems

To the maximum extent permitted by law, our total liability to you for any claims arising from these Terms or your use of our services shall not exceed the amount paid by you to us in the twelve months preceding the claim.

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

You agree to indemnify and hold harmless UNGRAVITY LLC, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of our services or violation of these Terms.

Either party may terminate these Terms with 30 days written notice. We may terminate immediately for violation of these Terms. Upon termination:

• Your access to our services will cease
• Outstanding fees become immediately due
• We will provide reasonable assistance for data migration
• Confidentiality obligations will survive termination

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Orange County, California.

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through our services. Continued use of our services after notification constitutes acceptance of the modified Terms.

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. These Terms constitute the entire agreement between you and UNGRAVITY LLC regarding the use of our services.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
